General Terms and Conditions SXP1

I. Introduction

1. The general rules and conditions determine the rights and restrictions of users as well as the relationship between the buyer and the provider. SXP1 is the brand under which the website www.sxp1.eu operates, which is owned and managed by Kitio Internacional d.o.o., with its office registered at Dunajska 5, 1000 Ljubljana, Slovenia, European Union, tax no. SI-75209578, registration number 8527504000.

2. By visiting the website, purchasing, and using the product under the name SXP1, customers and users agree to and accept these General Terms and Conditions. The use of the product, as well as the visit and use of the provider's services and/or equipment, are also subject to the provider's general conditions and rules. It is the buyer's and user's responsibility to familiarize themselves with them in advance and adhere to them in their entirety without exception. If the buyer is not the user of the product, they are requested to inform the user about the content of these general conditions and rules.

II. Glossary

The organizer is Kitio Internacional d.o.o., which sells products under the name SXP1 on its website.

SXP1 is an individual experience from the program that exists in electronic (PDF voucher) form. With the purchase, the customer acquires the right to use specific services and products for which vouchers are valid from selected providers.

The provider is a business partner of the organizer who offers certain goods or provides certain services, as described on the sxp1.eu website.

An e-voucher is a means of payment for a service that the customer chooses based on the possibilities of the individual provider and exists as a digital record. Only original copies that come with the appropriate valid redemption and activation codes are valid.

A user is a person who actually utilizes the service.

The buyer is a legal entity or a natural person who bought or received the product.

III. Personal data and copyright

1. The use of goods and services from the catalog of the brand www.SXP1.eu is guaranteed from June 22, 2023 only to registered users. Registration allows greater security of the system, cancellation and replacement of your card in case of theft or loss. By registering and agreeing to the use of data, the user allows the organizer and service providers to directly market and process personal data. Both undertake to act carefully and in accordance with the legislation on the protection of personal data. Personal data of users is necessarily collected for the purpose of keeping user records, e-mail and SMS/MMS notifications for the purpose of direct marketing, telephone surveys and offering goods and services using postal services. In this context, the following data is collected: personal name, address of permanent or temporary residence, mobile phone number, e-mail address and date of birth. The data will not be forwarded to any third party, except in the case of campaigns or prize games of third parties, where it may be specified otherwise (VIII.a. Promotional campaigns and prize games, point 3).

2. The organizer may as well access and use personal data in case of suspicion of criminal acts or suspected violation of these general terms and conditions.

3. In all current prize games, the tax number, as a very sensitive piece of personal data, is subsequently requested only from the winners, and then only in the case where the legislation requires so. The articipant in the prize draw has the option to refuse the transmission of their data and still participate in the prize draw. The winner must provide the necessary information for receiving the prize, including the tax number, if necessary. A prize winner who refuses to provide data loses the right to the prize.

4. The user can request at any time in writing to the organizer's address or in another agreed way, that the organizer permanently or temporarily stops using his personal data for the purpose of direct marketing. The organizer is within 15 (fifteen) days obliged to prevent the use of personal data for the purpose of direct marketing and to inform the user who requested this in writing or in another agreed way (e.g. via e-mail) within a further 5 (five) days. A user who does not wish to receive special offers can unsubscribe from all forms of notification (home address, e-mail, GSM) in writing to the address specified in this point.

5. Any publication of a comment, image or video on forums or a social network related to the provider or organizer is considered a public publication, which automatically transfers the right to use the author's material in any form or for any purpose to the organizer.

IV. Definition of Services, Products and Responsibilities

1. The user has carefully selected the providers whose services and products are presented in the SXP1 product range. The organizer is not responsible for the error of one of the providers, in the case of complete or partial non-fulfilment of the service, or for the change of the service by the provider. In such a case, all responsibility lies with the provider. The user can choose another provider from among those offered. In such a case, the user is not entitled to any reimbursement of costs. In order to ensure the highest level of service quality provided to customers, the organizer may terminate cooperation with one or more providers. In the event that the provider listed on the website no longer cooperates with the organizer, the latter will do its best to offer the user a service equivalent to the one originally chosen.

2. The providers on the website are regularly updated according to changes in the offer. The user is obliged to check each offer in advance when booking with the provider and to clearly state all the necessary information that the provider requires in order to obtain certain goods or perform the agreed services or activities. The organizer does not assume responsibility for the provision of incomplete or incorrect data by the user or buyer. The user or the buyer is responsible for the accuracy and truthfulness of the data provided.

3. The user and the buyer agree and understand that they solely are responsible for the handling of e-vouchers. Loss or theft of gift certificates is the responsibility of the user or purchaser alone. The organizer is not responsible for any misuse of gift vouchers and is not obliged to verify the identity of the buyer.

4. The organizer is not responsible for damage caused by natural or other accidents or other circumstances or caused by third parties in any way or form.

V. Use of e-vouchers and reservation of services

1. The condition for using the services is that the user has a valid e-voucher and accepts these general rules and conditions of use by the organizer and the provider.

2. Before using the e-vouchers and the service, users of the SXP1 program are obliged to check the key information and make a mandatory reservation of the service with the provider within the period specified by each partner separately and listed online. The reservation is made after confirmation of the reservation code by the provider, and exact instructions and the reservation procedure are stated in these general terms and conditions. Particular attention should be paid to the maximum possible number of people, time or season restrictions, required equipment, weather conditions, or other details.

3. To make a reservation, you must first contact the experience provider and check the available dates with them, stating that you are the recipient of the SXP1 one-time experience. When you coordinate the free appointment, inform the provider of the ACTIVATION and REDEMPTION code indicated on the e-voucher. Wait until it informs you that the code has been accepted and the reservation has been successfully completed.

4. All reservations depend on the number of available capacities. Partner facilities may have a certain number of capacities available specifically for SXP1 users. As a result, it is possible that on a certain date the capacities are unavailable for guests of the SXP1 program, while they are still free for other users. Reservation options in the facilities are constantly changing. As a result, the facility may be fully occupied at the time of the reservation inquiry, while a few days later, due to the cancellation of reservations, capacities are available again. Accordingly, the organizer does not guarantee reservations.

5. Upon presentation of a valid e-voucher to the provider, the user acquires the right to use the e-voucher for the use of services or acquisition of goods that can be obtained on the basis of an individual gift voucher.

6. The e-voucher can only be used once, unless stated otherwise. The provider collects the e-voucher at the user's first visit and, if necessary, issues a receipt and an invoice for the service rendered.

7. Each e-voucher can be exchanged during its validity period for any voucher in a higher price category upon additional payment, in which case it is necessary to send a letter together with the card to the e-mail address of the organizer. When exchanging for a lower price class, the value of the price difference is not returned. The exchange will be carried out in a maximum of three working days. The voucher is valid until the date printed on it. The free exchange option does not include postage costs. Copies of vouchers are not valid.

8. The activation code is the code found on the e-voucher and is used upon first contact with the selected provider. The redemption code is a code intended for the provider to confirm the service performed or the use of the product. A destroyed or illegible activation code may be the reason for the rejection of the e-voucher.

9. E-vouchers are not exchangeable for money, nor is it allowed to accept any other payment in exchange for gift vouchers.

10. The e-voucher for the SXP1 experience can only be used for goods or services listed next to the individual product on the sxp1.eu website. If the user uses any other service that is not provided among the options listed next to the product, he pays for it according to the provider's regular price list.

11. Value cards or vouchers and e-vouchers from the SXP1 program have a validity period of 90 days from the date of purchase with the possibility of free extension up to a maximum of 2 years. Exchanges can only be made within the same program. We do not refund the difference for exchange for the selected cheaper package.

12. Copying, reproduction, or embezzlement is strictly prohibited, constitutes a criminal offense, and is punishable in accordance with the applicable laws of the Republic of Slovenia. The organizer will report all the listed actions or violations to the competent state authorities, and the consequences are fully borne by the perpetrator.

VI. Purchase at www.sxp1.eu

1. The buyer first selects the desired product, where all information about the service and the product, as well as any restrictions of the provider, are located. Clicking to buy takes you to the order confirmation page.

2. Order confirmation and payment

The buyer confirms the order by clicking the ''Submit order'' button. The purchase is irrevocably completed and will be further processed by the organizer. If confirmation of the order is required or if the organizer needs to contact the buyer for any reason, they may do so personally. The sales contract between the organizer and the customer is concluded in the online store when the order is submitted. The sales contract (i.e., the first electronic message about the status of the order) is stored in electronic form at the email address info@sxp1.eu.

3. Prices are valid at the moment of the order by the buyer and only upon payment under the conditions described below or at the point of sale. The price always includes VAT, unless specified otherwise.

4. Prices on the website are fixed and do not change during visitor access. The prices are presented as regular prices that apply to the purchase through the website, regardless of the selected payment method.

VII. Payment method

2. Some payment methods may include additional payment processing costs, which the organizer cannot influence.

3. In case of purchase through the organizer's online store, the organizer issues an invoice to the buyer for the purchase of the product on a permanent medium. The buyer receives an invoice by e-mail together with the product. The buyer is obliged to check the correctness of the information on the invoice and to notify the organizer of any errors within eight days from the day of receipt. Objections made later regarding the correctness of issued invoices will not be taken into account. The sales contract or order is stored in electronic form on the organizer's server and is accessible to the buyer upon request.

VIII. Prices

The products are delivered at a price that is valid according to the price lists and tariffs at the time of confirmation of the order. Prices are expressed in euros. A gift voucher, which is a means of payment, is not subject to VAT. The prices on the organizer's website are fixed, at the time of purchase the organizer guarantees unchanged conditions. From the conclusion of the sales contract, all prices and other conditions are fixed and apply to both the organizer and the buyer.

VIII.a. Promotional campaigns and prize games

1. Promotional campaigns and discounts

Participation in promotional campaigns is possible during the duration of the campaign, which is published in the media in which the campaign is communicated. Unless otherwise stated in the advertised materials, the campaign only takes place on our website. Promotional prices apply exclusively to purchases of SelectBox gift packages during the promotion period. Promotions, codes, discounts, and other benefits do not add up.

2. A promotional code is a code that offers various benefits when making a purchase and is limited in time. The buyer can find the active promotional code on the front page of the advertising message, in the organizer's e-newsletter, or in other media. A promotional code can be a word, a number, or a combination of both, which the buyer, as a registered user, enters during the online purchase process. After clicking on ''Enter promotional code,'' a window opens one line below, where the buyer enters the currently valid promotional code and then clicks on the yellow ''apply'' button. The discount or benefit will be applied immediately afterward.3. Actions and prize games

Prizes are taxed according to the Income Tax Act. The winner is liable to pay income tax in accordance with the Income Tax Act (other benefits, including prizes). Prizes are not exchangeable for another type of prize, payable in cash or transferable to third parties.

Persons under the age of 18 must submit the written consent of their parents or legal guardian to the organizer at the same time as providing the information from paragraph 3 of this article, but no later than before accepting the prize.

VIII.b. The right to cancel an order

The buyer has the right to withdraw from the contract via the organizer's website.

The customer will receive a full refund if they cancel the purchase at least 24 hours before the start of the experience.

If the customer cancels the order less than 24 hours before the reserved date, the amount paid will not be refunded.

Any changes less than 24 hours before the booked appointment will not be accepted.

The local time of the SXP1 provider's location applies.

Some of the experiences offered by SXP1 are weather dependent. If the appointment/booking is canceled due to bad weather, you – the customer will be offered an alternative date or a full refund.

Some experiences require a minimum number of participants. If the performance of the SXP1 experience is canceled because the minimum number of participants is not met, the customer will be offered an alternative date or the SXP1 experience or a full refund.

IX. Complaints and returns

The buyer can complain about the service, if the service does not have the features, that the organizer expressly promised or if they deviate in some other way from the buyer's order. The buyer can complain about the goods within the statutory period. The provider alone is responsible for the performance of the service and not the organizer. Nevertheless, the organizer will do his best to resolve any disagreements or complaints between the buyer and the contractor as soon as possible.

X. Disclaimer

1. The online store www.sxp1.eu operates according to the principle of catalog sales, and delivery data is created on the basis of information provided by providers and is of an informative nature. Despite the effort for constant updating, it may happen that information about providers, product prices or delivery changes so quickly, that the organizer fails to correct the data and the data is still unchanged. In such a case, the organizer will inform the buyer about the changes and allow him to withdraw from the order, exchange the ordered product or some other agreed option.

2. All prices and delivery dates are valid only when the order is confirmed and marked with the label "Order confirmed".

3. When the product is available again, the organizer does not guarantee the same price as before it was withdrawn from sale.

4. Although the organizer tries to provide accurate photos of the sale items, all photos should be taken as symbolic. Photographs of all items are symbolic and do not guarantee actual product features.

5. The organizer reserves the right to typographical errors.

6. The organizer reserves the right to change the business conditions at any time and in any way, regardless of the reason and without prior warning.

7. The organizer is exempt from the provisions on delivery in situations that the organizer cannot influence, e.g. in the event of a delivery service strike or force majeure.

8. Websites that are directly or indirectly linked to the organizer's website are not under the control of the organizer and are not regulated by the organizer. The organizer is therefore not responsible for the information found on linked websites. Links to third-party websites are provided for practical reasons only, and the organizer is not responsible for the credibility and reliability of the information on these pages.

XI. Final Provisions

1. The latest amendments to the General Rules and Conditions will enter into force on June 22, 2023, from the date of publication. The company reserves the right to change these General Terms and Conditions at any time without prior notice.

2. The organizer respects the applicable legislation on consumer protection. The organizer makes every effort to fulfill its duty to establish an efficient complaint handling system and to designate a person with whom the buyer can contact via phone or e-mail in case of problems. Complaints can be submitted via email at info@sxp1.eu.

3. The organizer is aware that an essential characteristic of a consumer dispute is its disproportion between the economic value of the claim and the costs of the dispute itself. Therefore, the organizer makes every effort to resolve any dispute amicably. In the event that this is not possible, the competent court in Ljubljana has jurisdiction to resolve the dispute. In accordance with the third paragraph of Article 32 of the Act on out-of-court resolution of consumer disputes, we do not recognize any provider of out-of-court resolution of consumer disputes as competent to resolve a consumer dispute that a consumer could initiate in accordance with the Act on out-of-court resolution of consumer disputes. 4. The general terms and conditions will take effect from June 22, 2023, and will remain valid until cancelled.
